Doctor Subscription Agreement
VAltair Labs Pvt Ltd, on behalf of itself and its affiliates/group companies under the brand "VAltair Labs", is the author and publisher of the internet resource www.valtairlabs.com and its mobile application “VAltair Labs” (together referred to as the “App”).
VAltair Labs owns and operates the services provided through the App. The services provided by the App may be provided either directly by VAltair Labs or by its affiliates/group companies.
1) About VAltair Labs
Clinic Management System – Provides systematic management of appointments, patient flow in out-patient departments (OPD), supported by a multi-platform (iPhone, Android, Windows) mobile app for doctors registered on the App (“Doctor”, “You”, or “Your”) for easy daily practice management, both online and offline.
Electronic Health Records (EHR) – A comprehensive, template-driven solution that minimizes typing and saves time for Doctors. The EHR includes complete patient (“Patient” or “Customer”) records such as ailments, medical history, past investigations, and prescribed medicines. This improves efficiency and ensures accurate diagnosis and timely treatment.
Billing, Invoices & Receipts – Enables Doctors to initiate payments through secure online gateways (credit/debit/net banking/e-wallets). Create invoices (with or without GST), print or email invoices and receipts, and keep track of pending, received, and due payments for each Patient. Also supports generating data for year-end financial planning.
Treatment Plans – Allows adding new procedures and creating customized templates for Patients. Doctors can specify procedures, tentative costs, and pre/post-treatment instructions. This promotes transparency and helps Doctors and Patients remain on the same page throughout the treatment.
Telemedicine – Doctors can provide e-consultations by fixing online appointments and engaging with Patients via call, chat, or video directly through the App at a scheduled time.
Doctor Mobile/Tablet App – Doctors can manage appointments, track Patient recovery, and update records on the go. The App is available on Android, iOS, and Windows for seamless usage.
Data Analytics – Provides actionable insights to Doctors by analyzing Patient health data, helping them monitor trends, progress, and outcomes effectively.
Maximize Patient Reach – Offers tools to build stronger patient engagement through SMS/Email campaigns, voice reminder calls, and vernacular language support to ensure accessibility for diverse Patients.
Security First – We respect Your privacy and confidentiality. As a cloud-based solution, all data is securely stored on Amazon Web Services (AWS) servers, among the most secure infrastructures globally. Data privacy is governed by our Privacy Policy.
Reviews & Ratings – Helps Doctors build credibility and trust by collecting feedback, reviews, and ratings from Patients. These reviews are visible on the App, Google, and other integrated platforms to increase visibility and strengthen the Doctor’s reputation.
2) What is included in Your yearly subscription
- SMS / Email campaign options as per the subscription opted for.
- Doctors to build their goodwill by receiving reviews and rating from their Patients.
- A dedicated account manager for end-to-end support.
- Hours (Monday-Friday) tech support team for real time assistance (timings 10am -6.30pm). Assistance not available on public holidays. Doctors can raise their issues on: info@valtairlabs.com
STANDARD TERMS AND CONDITIONS
1) Definitions.
- " VAltair Labs " shall mean, collectively or individually, the software created/ designed by VAltair Labs Pvt Ltd that is provided to the Doctors on a subscription basis for the Purpose, including the Updates (defined below).
- "Updates & Upgrades" shall mean enhancements, bug fixes, updates and new versions made to VAltair Labs
2) License Grant and Access to Software
· Subscription to the Doctors:
Subject to all limitations and restrictions contained herein, VAltair Labs Pvt Ltd grants to the Doctor a subscription, software-as-a-service ("SaaS"), limited, revocable, non-exclusive, and non-transferable right to access and operate the object code form of the VAltair Labs platform as hosted by VAltair Labs ("Hosted Software"). Doctor shall not allow any website that is not fully owned by the Doctor to frame, syndicate, distribute, replicate, or copy any portion of Doctor's website that provides direct or indirect access to the Hosted Software. Unless otherwise expressly permitted in this Agreement, the Doctor shall not permit any subsidiaries, affiliated companies, or third parties to access the Hosted Software. Doctor shall be provided with login credentials to the Hosted Software by the VAltair Labs representative, and the Doctor shall use the same to create an account ("Doctor Account"). The Doctor Account shall serve as the primary interface between VAltair Labs and the Doctor
· Implementation and Training:
Upon execution of the Agreement, VAltair Labs shall initiate the implementation of its services ("Services") for the Doctor, which shall include creating the segregated hosting environment and effecting necessary interfaces for the Hosted Software. In furtherance of the implementation, the Doctor shall:
(i) grant to VAltair Labs such reasonable access to Doctor's equipment (both electronically and physically), and to Doctor's premises, as shall be necessary or appropriate to enable VAltair Labs to perform its obligations hereunder; and
(ii) cooperate fully with VAltair Labs in the provisioning of services hereunder.
· For Hosted Software, the subscription period shall be deemed to commence from the date the software installation is completed and when access to the cloud-based server is granted to the Doctor. The start date of the subscription period shall be referred to as the "Commencement Date."
· Further, the Doctor shall conduct the necessary training for the Doctor's authorized users (as defined below) and the administrator of the Hosted Software with respect to the use and operation of all modules or components ("Implementation and Training"). The Doctor shall ensure the availability of the authorized users for the said training.
3) Eligibility to Access VAltair Labs
Only persons who can form legally binding contracts under the Indian Contract Act, 1872 may access and/or transact on VAltair Labs. Persons who are ‘incompetent to contract’ within the meaning of the Indian Contract Act, 1872 including un-discharged insolvents etc. are not eligible to use VAltair Labs.
If you are a minor i.e., under the age of 18 years, you may use VAltair Labs only under the supervision and prior consent of a parent or legal guardian. Transactions on VAltair Labs may only be made by your legal guardian or parents.
We reserve the right to terminate your membership and/or refuse to provide you with access to VAltair Labs if it is brought to our notice or if it is discovered that you are incompetent to contract.
If you are a person with disability, you may use VAltair Labs only under the supervision and prior consent of a parent or legal guardian.
Limitation on Use: VAltair Labs may be used by the Doctor for management of one hospital/clinic as per the details provided. It may not be used for any other hospital or clinic through internet-based remote access.
Customization: VAltair Labs Pvt Ltd has the sole right to modify, add, or remove any features at its discretion.
Doctor Information: Any communication sent by or through VAltair Labs to Customers of Doctors is based solely on information uploaded by the Doctor. The accuracy and completeness of such information is the sole responsibility of the Doctor. VAltair Labs Pvt Ltd will not be responsible for inaccuracies.
Data Sharing: Doctors are responsible for maintaining confidentiality of any prescription or health data shared with Customers. VAltair Labs Pvt Ltd does not assume liability for data misuse.
Additional Restrictions: Doctors shall not disassemble, decompile, reverse-engineer or permit others to do so with respect to VAltair Labs.
Authorized Users: Unless otherwise provided, authorized users of the Doctor will only consist of Doctor’s employees and third-party contractors who do not compete with VAltair Labs Pvt Ltd. Doctors remain fully liable for the acts of such contractors.
4) Technical Support
VAltair Labs Pvt Ltd provides basic support at no additional charge, available between 10 am to 7 pm IST, Monday to Friday (excluding public holidays). Support is provided via email or ticketing system
5) Communications
By using VAltair Labs, you consent to receive communications electronically from VAltair Labs Pvt Ltd and its affiliates.
6) Consultation Sessions
Any consultation or interaction between Customer and Doctor outside VAltair Labs is at the Doctor’s sole responsibility. VAltair Labs Pvt Ltd disclaims all liability.
Video consultation interruptions due to network or technical failure are not the responsibility of VAltair Labs Pvt Ltd.
All interactions between Customer and Doctor are subject to doctor–patient confidentiality.
7) Payments and Cancellation
Payments for VAltair Labs subscriptions shall be made as per agreed terms.
- All transactions between Doctors and Customers are the Doctor’s responsibility.
- VAltair Labs Pvt Ltd does not guarantee business or revenue through use of the platform.
8) Confidentiality
Each party agrees to keep the other’s confidential information secure. Confidentiality obligations survive for 3 years after termination of this agreement, except for trade secrets which remain indefinite.
All Doctor data on VAltair Labs is governed by the Privacy Policy of VAltair Labs Pvt Ltd.
9) Representations and Warranties
Doctors represent that:
- They are 18 years or older, and legally eligible.
- Information provided is accurate and updated.
- They will not use VAltair Labs for any unauthorized or unlawful purpose.
- They will comply with applicable laws.
VAltair Labs Pvt Ltd provides services on an “as is” and “as available” basis, without any express or implied warranties.
10) Disclaimers
Use of VAltair Labs is at your own risk. VAltair Labs Pvt Ltd disclaims all liability for:
- Errors, interruptions, delays, or security breaches.
- Any loss of business, profits, or information.
- Any reliance placed on platform content.
- Any damages from unauthorized access, viruses, or data misuse.
Doctors remain solely responsible for equipment, internet access, and security.
11) Term and Termination
- This Agreement is valid for 1 year and auto-renews unless terminated with 60 days’ notice.
- Either party may terminate if the other breaches a material obligation and does not cure it within 30 days.
- VAltair Labs Pvt Ltd may terminate for convenience with 90 days’ notice.
- Upon termination, VAltair Labs Pvt Ltd will provide Doctors with their database in electronic format.
12) Tele-Consultation
Tele-consultations through VAltair Labs require patient consent within the patient application. Without consent, tele-consultation cannot proceed.
VAltair Labs Pvt Ltd is not liable for legal issues arising from data exchanged during consultations.
13) Sharing of Information with Affiliates
VAltair Labs Pvt Ltd may share data with its affiliates only if required to provide services requested by the Customer.
14) General
- Assignment: Doctors cannot assign this Agreement without prior written consent.
- Notices: All notices must be in writing and sent to the official address of VAltair Labs Pvt Ltd.
- Independent Parties: Nothing in this Agreement creates a partnership, agency, or employment relationship.
- Loss of Data: VAltair Labs Pvt Ltd will not be responsible for data lost due to Doctor’s negligence.
- Governing Law & Arbitration: Disputes shall be settled under ICC Rules, arbitration seat Pune, language English.
- Entire Agreement: This document constitutes the full agreement and supersedes all prior communications.
15) Refund & Cancellation
- No refunds/credits unless required by Indian consumer law.
- Refund requests will be considered on merit.
- Cancellations must be raised within 48 hours of purchase via email to info@valtairlabs.com or by phone (official support number to be provided).
- Refunds (if approved) will be processed within 14 days.
- All payments will be refunded in INR through the original payment method.
